General Terms & Conditions

Skapa Media - Belgian Private Limited Company (BV/SRL)
1. General
These Terms & Conditions apply to all services provided by Skapa Media, a Belgian private limited company (hereinafter referred to as “the Service Provider”).
By confirming a project, the client agrees to these Terms & Conditions unless otherwise agreed in writing.
2. Quotations & Agreements
All quotations are non-binding and valid for 30 days unless stated otherwise.
A project is only confirmed upon written approval by both parties (email or signed agreement).
Any changes to the project scope, briefing, or deliverables may result in a revised quotation.
3. Pricing & Payment
All prices are exclusive of VAT unless explicitly stated otherwise.
Invoices are payable within 30 days from the invoice date, unless agreed otherwise.
In case of late payment, statutory interest and reasonable collection costs may be charged in accordance with Belgian law.
The Service Provider reserves the right to suspend delivery in case of outstanding invoices.
4. Retention of Title
All delivered materials remain the property of the Service Provider until full payment has been received.
5. Delivery of Materials
Delivery timelines are agreed per project and may vary depending on scope and complexity.
Final deliverables are provided digitally via platforms such as Frame.io, WeTransfer, Dropbox, or similar services.
RAW footage and project files are not included unless explicitly agreed upon in writing and may incur additional costs.
6. Revisions
Unless otherwise agreed, projects include 1 to 3 revision rounds.
Additional revisions will be charged at an hourly rate or pre-agreed fixed fee.
Revisions are limited to minor adjustments (cuts, colour grading, audio tweaks). Full re-edits or changes in concept are not included.
7. Cancellation Policy
Cancellations made less than 7 days before the scheduled shoot may incur a cancellation fee of up to 50% of the agreed day rate.
Any costs already incurred (travel, accommodation, location fees, equipment rental, freelancers, etc.) will always be charged in full.
In case of force majeure (illness, accidents, extreme weather, or other unforeseen circumstances), the parties will mutually agree on a rescheduled date.
8. Copyright & Usage Rights
All intellectual property rights (including copyright) in the created materials remain with the Service Provider and/or its affiliated rights holder (the Company).
The Client is granted a non-exclusive, non-transferable licence to use the delivered content for the agreed purposes. If the Client acts as an intermediary (such as an agency), the licence includes the right to grant usage to its end client solely within the agreed scope.
Any additional usage (including but not limited to paid advertising, redistribution, third-party usage, or extended commercial exploitation) requires prior written consent and may be subject to additional licensing fees.
Unless otherwise agreed in writing, the Service Provider reserves the right to use the delivered work for portfolio, showreel, website, and promotional purposes.
9. Cooperation & Client Responsibilities
The client is responsible for providing all necessary briefing information, assets, approvals, and access required for the execution of the project.
Delays caused by incomplete or late input from the client may impact delivery timelines.
If production time exceeds the agreed schedule due to client-related reasons, additional costs may be charged.
10. Liability
The Service Provider is not liable for any indirect or consequential damages, including loss of profits, loss of revenue, or business opportunities. The Service Provider is only responsible for direct damages resulting from proven failure to deliver the agreed services.
The Service Provider’s liability is limited to the value of the relevant invoice, except in cases of wilful misconduct or gross negligence.
In the event of technical failure or unforeseen circumstances, the Service Provider will make reasonable efforts to find an appropriate solution (reshoot, alternative delivery, etc.).
11. File Storage & Archiving
Final deliverables, project files, and raw footage may be stored for up to 24 months (2 years) after project completion, subject to available storage capacity. After this period, the Service Provider is under no obligation to retain or archive any files.
Extended archiving beyond the stated period can be offered upon request and may be subject to additional storage fees.
The client is responsible for downloading and securely storing all delivered materials.
12. Independent Contractor
The Service Provider operates as an independent contractor. Nothing in these Terms & Conditions shall be interpreted as creating an employment relationship between the parties.
13. Governing Law
These Terms & Conditions are governed by Belgian law. Any disputes shall be subject to the exclusive jurisdiction of the competent courts of Belgium, typically in the district of the Service Provider’s registered office.
